Terms of Service

These Terms of Service ("Terms", "Terms of Service") govern your access to and use of the products and services offered by EmeraldPay Ltd, a company registered in England and Wales (company number 15604412), with its registered office at 86-90 Paul Street, London, England, EC2A 4NE ("EmeraldPay", "Company", "us", "we", or "our").
By accessing or using any of the Services (as defined below), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
The Services
In these Terms, "Services" means, collectively:
- the Emerald desktop wallet for macOS, Windows and Linux;
- the Receipt block explorer available at receipt.emerald.cash;
- the Emerald Weather mobile application and its accompanying social-media feeds (including on X/Twitter);
- the websites at emerald.cash and its subdomains; and
- any other software, applications, websites or services that we make available and that link to or reference these Terms.
Some Services are governed by additional terms that we make available separately. Where those additional terms conflict with these Terms in respect of a particular Service, the additional terms prevail for that Service only.
Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), to use the Services. By using the Services you represent and warrant that you meet this requirement.
The Services are not directed at children under 13. We do not knowingly collect personal data from children under 13.
Most of the Services do not require you to create an account or provide personal information to us. Where a Service requires registration, additional terms applicable to that Service will set out the registration requirements.
Licence to use the Services
Subject to your compliance with these Terms, EmeraldPay grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install and use the Services for your own personal, non-commercial use.
All intellectual property rights in and to the Services, including the source code, object code, designs, trademarks, logos and content (other than third-party content), are and remain the property of EmeraldPay or its licensors. Except for the licence expressly granted above, no rights are granted to you under these Terms.
You must not:
- copy, modify, distribute, sell, rent or sub-licence the Services or any part of them, except as expressly permitted by applicable law or by these Terms;
- reverse engineer, decompile or disassemble any part of the Services, except to the extent that such acts are permitted by applicable law and cannot be excluded by contract;
- remove or alter any proprietary notices on the Services;
- use the Services to develop or train a competing product, or to scrape, mirror or systematically extract data from them;
- use the Services to violate any law or regulation, infringe any third-party right, transmit malware, or attempt to gain unauthorised access to any system; or
- use the Services in any manner that could damage, disable, overburden or impair them, or interfere with any other party's use of them.
Mobile Applications and App Stores
Certain Services, including the Emerald Weather application and the Emerald mobile wallet, are distributed through the Apple App Store and the Google Play Store. Your use of those Services through an app store is also subject to that store's own terms of service.
If you obtained a Service from the Apple App Store, the following additional terms apply:
- These Terms are concluded between you and EmeraldPay, and not with Apple Inc. ("Apple"). Apple is not responsible for the Service or its content.
- The licence granted to you in these Terms is limited to a non-transferable licence to use the Service on any Apple-branded device that you own or control, as permitted by the Apple App Store Terms and Conditions.
- Apple has no obligation to provide any maintenance or support services for the Service.
- If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (where applicable). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
- EmeraldPay, and not Apple, is responsible for addressing any claims you or any third party may have relating to the Service, including product liability claims, claims that the Service fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- In the event of any third-party claim that the Service or your possession or use of it infringes that third party's intellectual property rights, EmeraldPay (and not Apple) is solely responsible for the investigation, defence, settlement and discharge of any such claim.
- You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
If you obtained a Service from Google Play, your use is also subject to the Google Play Terms of Service. You acknowledge that EmeraldPay, and not Google LLC, is solely responsible for the Service and the support, maintenance and any claims relating to it.
Digital Assets
Our wallet Services (including the Emerald desktop wallet, the Emerald mobile wallet and the Emerald console wallet) are self-custody. EmeraldPay does not hold, control, custody or have access to your private keys, recovery phrases or digital assets. You are solely responsible for generating, storing, backing up and securing your private keys and recovery phrases. We cannot recover them for you, and we cannot reverse, cancel or refund any transaction you initiate.
Digital assets, including cryptocurrencies, carry inherent risks, including but not limited to:
- market volatility and the risk of total loss of value;
- regulatory and legal change affecting the legality, taxation or treatment of digital assets in your jurisdiction;
- technical risks, including software defects, protocol changes, network congestion, forks and the failure of third-party services on which a digital asset depends;
- security risks, including phishing, malware, social engineering, loss or theft of devices, and unauthorised access to your private keys or recovery phrases; and
- operational risks, including errors in transaction details (such as sending to an incorrect address) which may result in irreversible loss.
You acknowledge and accept these risks. You are solely responsible for conducting your own due diligence before transacting in any digital asset or interacting with any blockchain network, smart contract, decentralised application or third-party service. EmeraldPay is not a broker, dealer, exchange, fiduciary, money services business or investment adviser, and we do not provide investment, financial, trading, legal or tax advice.
Informational Content and Market Data
Certain Services display cryptocurrency and digital-asset price and market information ("Market Data"), including through the Receipt block explorer, the Emerald Weather application and our associated social-media feeds.
Market Data is provided for general informational purposes only. It is not, and must not be relied on as, investment, financial, trading, legal or tax advice, and it is not a recommendation, offer or solicitation to buy, sell, hold or transact in any digital asset. Market Data may be inaccurate, incomplete, delayed, unavailable or interrupted, and we make no representation or warranty as to its accuracy, completeness or timeliness. We assume no obligation to update Market Data or to notify you of changes to it.
Any decision you make on the basis of Market Data is made at your sole risk and is your sole responsibility. To the maximum extent permitted by law, EmeraldPay is not liable for any loss arising from your reliance on Market Data.
Links To Other Web Sites
Our Services may contain links to third-party web sites or services that are not owned or controlled by EmeraldPay.
EmeraldPay has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that EmeraldPay shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Third Party Services and Content
In using our Services, you may view content or utilise services provided by third parties, including blockchain networks, smart contracts, decentralised applications, and links to web pages and services of such parties ("Third-Party Content"). We do not control, endorse or adopt any Third-Party Content and will have no responsibility for Third-Party Content, including, without limitation, material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable in your jurisdiction. In addition, your business dealings or correspondence with such third parties are solely between you and the third parties. We are not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, and you understand that your use of Third-Party Content, and your interactions with third parties, is at your own risk.
Cookies, Device Data and Analytics
Our websites use cookies and similar technologies, and our mobile applications may collect device identifiers, crash reports, performance data and other technical information. Some of this collection is necessary to operate the Services; some supports diagnostics and improvement. We describe what we collect and why in our Privacy Policy. By using the Services you consent to that collection where consent is required under applicable law.
Acceptable Use
You agree not to use the Services:
- to engage in or facilitate any illegal activity, including money laundering, terrorism financing, tax evasion, sanctions evasion or fraud;
- to infringe the intellectual property, privacy or other rights of any person;
- to interfere with, disrupt or overload the Services or any servers or networks connected to them;
- to introduce malware, viruses or any other malicious code; or
- in any manner that violates applicable law, regulation or any sanctions regime that applies to you or to us.
We reserve the right to suspend or terminate your access to the Services if we reasonably believe that you have breached these Terms.
Indemnification
If you are using the Services in a business or commercial capacity (and not as a consumer), you agree to defend, indemnify and hold harmless EmeraldPay and its directors, officers, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- (a) your use of and access to the Services;
- (b) your breach of any of these Terms;
- (c) your violation of any third-party right, including any intellectual property or right of privacy; or
- (d) any unlawful, fraudulent or otherwise unauthorised activity carried out by you using the Services.
Where you are using the Services as a consumer, this section does not apply to the extent it would be unenforceable under mandatory consumer protection law.
DISCLAIMER OF WARRANTIES
(a) TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, AND EXCEPT AS EXPRESSLY PROVIDED TO THE CONTRARY IN WRITING BY US, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM, AND YOU WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT AS TO THE SERVICES, INCLUDING THE INFORMATION, CONTENT AND MATERIALS CONTAINED THEREIN.
(b) YOU ACKNOWLEDGE THAT INFORMATION YOU STORE OR TRANSFER THROUGH OUR SERVICES MAY BECOME IRRETRIEVABLY LOST OR CORRUPTED OR TEMPORARILY UNAVAILABLE DUE TO A VARIETY OF CAUSES, INCLUDING SOFTWARE FAILURES, PROTOCOL CHANGES BY THIRD PARTY PROVIDERS, INTERNET OUTAGES, FORCE MAJEURE EVENT OR OTHER DISASTERS, SCHEDULED OR UNSCHEDULED MAINTENANCE, OR OTHER CAUSES EITHER WITHIN OR OUTSIDE OUR CONTROL. YOU ARE SOLELY RESPONSIBLE FOR BACKING UP AND MAINTAINING DUPLICATE COPIES OF ANY INFORMATION YOU STORE OR TRANSFER THROUGH OUR SERVICES, INCLUDING YOUR PRIVATE KEYS AND RECOVERY PHRASES.
Where you are a consumer, nothing in this section affects any non-excludable statutory rights that you have under applicable law, including under the Consumer Rights Act 2015 in the United Kingdom.
LIMITATION OF LIABILITY
EXCEPT AS OTHERWISE REQUIRED BY LAW, IN NO EVENT SHALL EMERALDPAY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR LICENSORS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL OR LOSS OF DATA, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT FORESEEABLE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY ANY USER ON ANY INFORMATION OBTAINED FROM EMERALDPAY, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM A FORCE MAJEURE EVENT, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORISED ACCESS TO EMERALDPAY'S RECORDS, PROGRAMS OR SERVICES.
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law. If you are a consumer, your statutory rights are not affected.
Governing Law and Dispute Resolution
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.
Subject to the consumer paragraph below, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
If you are a consumer resident in the United Kingdom or the European Economic Area, you may bring proceedings in the courts of the country in which you reside, and nothing in these Terms removes or limits any mandatory protection that applies to you under the law of that country.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms (together with any additional terms that apply to a particular Service) constitute the entire agreement between us regarding the Services, and supersede and replace any prior agreements we might have between us regarding the Services.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
